Part I - agency system and policy

I. description of agency system:

As the leader of RFID information, intelligence and automation in clothing, bedding and luggage industry, Techzen has a complete product supply chain and the most world-famous high-end customers in Guangdong, Southeast Asia and Africa. For the brand of Techzen, we hope to cooperate with partners with the same business philosophy to achieve strong alliance and common development of regional market.


II. Agency policy:

1. Order and supply: supply goods to franchised agents according to the principle of order first and then delivery.

2. Settlement method: according to the contract signed by both parties.

3. Transportation: in mainland China, goods are delivered by logistics or express delivery; outside mainland China, goods are delivered by FOB Hong Kong.

4. Publicity materials: follow up the market situation and development efforts to provide corresponding publicity materials; if there are special needs, additional publicity materials and product materials can be issued.

5. Policy change: in case of any change in products and market policies, the company will notify the franchised agent in advance, and negotiate with the franchised agent to solve the issues arising from the policy change.


Part II - rights and obligations of franchised age

1. Franchised agents enjoy the agency price of the company's products.

2. The franchising agent cannot act as the agent for the competitive products of other companies or individuals at the same time.

3. The franchised agent is obliged to promote the company's products with due diligence during the agency period, and is fully responsible for the installation of hardware and software of the local end-users; system debugging, after-sales service and technical support.

4. Franchised agents are responsible for product distribution and customer development in their own regions, and cannot sell across regions with agents. The franchising agent is obliged to summarize the list of developed customers to the company to avoid cross regional customer disputes.

5. The franchised agents shall strictly abide by the agency system of the company, and the external quotation and sales price shall be the official national unified retail price, and the preferential price when the same customer purchases multiple products shall not be lower than the minimum sales price specified by the company. The agent shall not disclose or disclose the minimum sales price, and shall not sell at a price lower than the minimum retail price. Once it is verified that the agency system is violated, the agency qualification will be cancelled.

6. Respect the copyright and intellectual property rights of the company's products, and do not sell pirated products of the company. The company reserves the right to investigate the relevant legal and economic responsibilities of the seller.

7. Each customer sold by the franchised agent must provide the detailed information (customer type, company name, contact person, contact address, telephone, email, website, etc.) of the final customer to the company as the basis for the company to provide upgrading services and technical support. The franchising agent shall not provide false customer information, once verified, the company has the right to cancel the agency qualification immediately.

8. The company's products shall not be disassembled, decompiled, cracked, etc., and the products shall not be copied, copied, or disclosed to any third party except for the final use. The company shall not develop or assist the third party to develop products similar to the products. Otherwise, the company reserves the right to pursue relevant legal and economic responsibilities.

9. The business data and customer data of the company obtained by the franchised agent during the cooperation shall be kept confidential and shall not be disclosed to the third party.

10. The franchised agent shall strive to improve the service level without damaging the company's image and goodwill; and shall not sell products by deception or illegal means. If the reputation of the company is damaged as a result, the company reserves the right to make reputation compensation in accordance with relevant laws.

Part III market management of agency area

1. The company formulates the national market standard retail price of products, unifies the quotation format and preferential methods, and the franchised agents must comply with the company's price strategy.

2. The company shall provide the contract model uniformly.

3. The company has the right to conduct regular annual agent assessment on franchised agents. If the sales volume fails to reach the specified level within one year and fails to pass the company's year-end audit, the company has the right to revoke the agency qualification.


Part IV training of agents

1. The company will provide complete training support for franchised agents, so that franchised agents can fully understand the company's products and provide necessary technical support and user services to customers.


Part V Protection Policies of agents

1. Only one agent is set up in one region.

2. It is not allowed to sell across regions with agents.
